“Experienced Trade Secrets Protection and Defense Legal Specialists.”
Most business professionals are aware that confidentiality agreements and non-compete agreements are enforceable in Colorado as are other contracts. However, many business professionals are not aware that when no confidentiality agreement exists, there are still certain very restrictive rules prohibiting the misappropriation of information acquired by any employee, customer, agent or associate of a business organization acquired during the course of service to or contact with that organization.
The Colorado Uniform Trade Secrets Act designates any information obtained during a relationship with a business entity to be a trade secret if the whole or any part of that information is a secret of the business entity and “of value.” Thus, scientific or technical information, design, process, procedure, formulas, improvements, confidential business or financial information, the listing of names, addresses, or telephone numbers can all constitute trade secrets. To be a trade secret, the owner of the information mush have taken measures to prevent the secret from becoming available to persons other than those selected by the owner to have access for limited purposes.
Trade secrets, therefore, include any information of value acquired from a business or person in business that the business or person has taken measures to protect. The penalties for the misappropriation of trade secrets include injunctions to restrict further misappropriation, actual damages suffered by the owner of the trade secrets, a divestment of any unjust enrichment enjoyed by the user of the information, and criminal penalties for the theft of trade secrets as a class one misdemeanor – up to 18 months confinement. These are very complex legal issues that require the assistance and attention of an experienced and knowledgeable trade secrets lawyer.
